1. GENERAL PROVISIONS

1.1 Flaucards.com is a service operated by LLC "КАПИТАЛОН" (Taxpayer Identification Number (TIN): 193763508), with its registered office at Republic of Belarus, Minsk, Odoevskogo Street, Building 129, Office 402, 220015. These Terms of Use govern all activities and interactions with the Flaucards.com platform. They establish the legal relationship between LLC "КАПИТАЛОН" and the User. Capitalized terms are defined in Article 3.

1.2 By completing the Registration Form available on the Flaucards.com website, the User confirms their acceptance of these Terms of Use, including the Privacy Policy. Upon verification, the User’s Account will be activated, granting access to the Platform. The User must adhere to all obligations as outlined herein.

1.3 LLC "КАПИТАЛОН" reserves the right to amend these Terms of Use at any time. Notice of changes will be provided in advance of their effective date, and such changes become enforceable once published on the Platform. Users are encouraged to review the Terms periodically before using the Platform.

1.4 Any deviation from these Terms must be confirmed in writing by LLC "КАПИТАЛОН". If any provision is declared void by a competent court, the remaining provisions shall remain valid and enforceable.

1.5 In circumstances of a discrepancy between the English version of these Terms of Use and any translated version, the English version shall prevail.

2. THE PLATFORM

2.1 The Flaucards.com Platform is an online marketplace through which Users can purchase digital Products offered by Flaucards.com.

2.2 Users must register an Account before making purchases on the Platform.

3. DEFINITIONS

3.1 Account: A user profile created to access and utilize the Platform.

3.2 User: Any individual who accesses or interacts with the Platform.

3.3 Terms of Use: These terms governing use of the Platform.

3.4 IP Rights: All intellectual property rights, including but not limited to trademarks, copyrights, patents, trade secrets, and related rights, whether registered or unregistered.

3.5 Registration Form: The form available at the Flaucards.com website used by Users to register an Account and accept the Terms.

3.6 Buyer: A User who has registered an Account and made a purchase.

3.7 Purchase Agreement: The contract formed between LLC "КАПИТАЛОН" and a Buyer upon purchasing a Product.

3.8 Platform: The digital interface of LLC "КАПИТАЛОН" allowing the sale and purchase of digital Products.

3.9 Product(s): The digital goods available for sale through the Platform.

3.10 Code: A unique code linked to a digital card, redeemable by the Buyer.

4. ACCOUNT REGISTRATION AND USE

4.1 All Users must register and verify an Account before purchasing Products. Verification, which ensures platform security and prevents fraud, typically takes up to 24 hours but may extend to 48 hours.

4.2 Users are fully responsible for the use and access of their Account. Only authorized individuals may use the Platform via the Account.

4.3 LLC "КАПИТАЛОН" may restrict or suspend Account features at its sole discretion.

4.4 If a User fails to fulfill payment obligations, LLC "КАПИТАЛОН" may suspend access to the Account until debts are settled.

4.5 Once an Account is blocked, the User loses access to the Platform.

4.6 Users are not entitled to compensation for suspension or termination of their Account.

4.7 Users must keep their Account credentials confidential at all times.

5. PURCHASE AGREEMENT

5.1 When a logged-in User clicks the 'Purchase' button, a binding Purchase Agreement is created. All purchases are final and non-refundable.

5.2 LLC "КАПИТАЛОН" is not bound by any errors in Product listings or descriptions.

5.3 The parties waive the right to dissolve the Purchase Agreement based on absence of mutual agreement (consensus ad idem).

6. FULFILLMENT OF PURCHASE AGREEMENT

6.1 Both parties are bound to fulfill their obligations under the Purchase Agreement.

6.2 The Buyer must pay the full purchase price.

6.3 The Buyer is responsible for ensuring sufficient funds prior to purchase.

6.4 Delivery will not occur until payment is received in full.

6.5 Upon payment, the Product (Code) will be sent to the Buyer's email and/or made available via their account. Delivery usually occurs within one minute, but may take up to five minutes. Risk transfers to the Buyer upon code delivery.

6.6 Users may not suspend or offset payments due.

7. ACCOUNT DURATION AND TERMINATION

7.1 Accounts are valid for 12 months and are automatically renewed.

7.2 Users may request deletion of their Account and associated data via info@flaucards.com.

7.3 Cancellation requests must be submitted in writing via email.

8. REFUND / CANCELLATION POLICY

8.1 Purchases of digital gift cards are non-refundable.

8.2 Refunds are granted only in the case of technical errors on our part or issues arising due to our own fault. Users are entitled to a refund possibility within 14 days of purchase.

8.3 Refund requests must be submitted by the User via official contact methods provided on the website.

8.4 Refunds are processed using the same payment method used for the original transaction.

9. PAYMENT SERVICES

9.1 The minimum and maximum transaction amounts are €5 and €1000, respectively.

9.2 Users may not exceed 10 transactions per day to prevent fraud and comply with anti-money laundering regulations.

9.3 Users whose cumulative purchases exceed €5,000 will be required to complete KYC (Know Your Customer) verification and provide supporting documents.

9.4 LLC "КАПИТАЛОН" is not responsible for any issues arising from third-party payment services.

9.5 All transaction-related fees are the responsibility of the User, including those for chargebacks.

10. TRANSFER OF RIGHTS AND OBLIGATIONS

10.1 Users may not assign or transfer any rights or obligations under these Terms.

10.2 LLC "КАПИТАЛОН" may assign its rights or claims to third parties.

11. SECURITY

11.1 Users are expected to implement appropriate security measures to ensure safe and secure digital transactions.

12. PRIVACY

12.1 Users acknowledge and accept LLC "КАПИТАЛОН" Privacy Policy as part of these Terms.

13. REPORTING MISUSE

13.1 Users must assist in preventing abuse of the Platform, including but not limited to theft, fraud, money laundering, terrorist financing, and resale to third parties. Any suspicion of misuse must be reported to info@flaucards.com.

14. MAINTENANCE

14.1 Maintenance and improvement of the Platform is conducted during business hours.

15. FORCE MAJEURE

15.1 LLC "КАПИТАЛОН" shall not be liable for failure to perform its obligations due to circumstances beyond its control, including but not limited to acts of war, cyberattacks, government regulations, or outages in electricity or telecommunications.

15.2 Obligations may be suspended for the duration of the force majeure event.

16. LIMITATION OF LIABILITY

16.1 LLC "КАПИТАЛОН" is not liable for indirect, consequential, or special damages, including lost profits or data loss.

16.2 No liability is accepted for third-party services or products.

16.3 LLC "КАПИТАЛОН" is not liable for unavailable or discontinued Products.

16.4 Downtime or maintenance of the Platform is not grounds for liability.

16.5 LLC "КАПИТАЛОН" disclaims liability for hacking incidents.

16.6 Users are solely responsible for any right-of-withdrawal claims by their own customers.

16.7 No liability for expired or defective codes.

16.8 These disclaimers apply in all contexts where legally permitted.

16.9 These limitations do not apply in cases of intentional misconduct or gross negligence.

16.10 Users must notify LLC "КАПИТАЛОН" in writing of any breach before liability can be claimed.

16.11 All notifications must include specific details about the alleged non-compliance.

16.12 Users indemnify LLC "КАПИТАЛОН" against any third-party claims based on defective products or codes provided by the User.

16.13 These limitations apply to all entities and persons acting on behalf of LLC "КАПИТАЛОН".

16.14 These terms also apply to all related Purchase Agreements.

17. INTELLECTUAL PROPERTY

17.1 LLC "КАПИТАЛОН" retains all intellectual property rights over the Platform and its content. Users receive only limited, non-exclusive, non-transferable, non-sublicensable usage rights.

17.2 Any use of LLC "КАПИТАЛОН" intellectual property requires prior written consent.

17.3 All intellectual property rights in Products, databases, scripts, and designs belong to LLC "КАПИТАЛОН", its licensors, or suppliers.

18. CONFIDENTIALITY

18.1 All information shared between User and LLC "КАПИТАЛОН" in the course of their relationship is confidential unless:

It is public knowledge;

Disclosure is required by law;

Prior written consent is given by both parties.

18.2 Breaches of confidentiality may result in legal action and liability.

18.3 Confidentiality obligations remain in effect for five years after Account termination.

19. GOVERNING LAW AND JURISDICTION

19.1 These Terms of Use and related agreements are governed by the Republic of Belarus laws.

19.2 All disputes shall be resolved exclusively by the district courts of Republic of Belarus.

20. RESTRICTED AND PROHIBITED COUNTRIES

20.1 Prohibited Countries: Access to the Service, including account creation and purchases on Flaucards.com, is strictly prohibited for individuals and entities located in or ordinarily resident in the following jurisdictions due to applicable international sanctions and compliance obligations: Democratic People's Republic of Korea (North Korea), Islamic Republic of Iran, Republic of the Union of Myanmar (Burma).

20.2 High-Risk Countries: Due to regulatory obligations, including anti-money laundering (AML) and counter-terrorism financing (CTF) controls, we apply enhanced monitoring for users located in or ordinarily resident in the following jurisdictions: Islamic Republic of Afghanistan, Republic of Albania, Barbados, Republic of Belarus, Burkina Faso, Kingdom of Cambodia, Cayman Islands, Democratic Republic of the Congo, Gibraltar, Republic of Haiti, Jamaica, Hashemite Kingdom of Jordan, Republic of Mali, Kingdom of Morocco, Republic of Mozambique, Republic of Nicaragua, Islamic Republic of Pakistan, Republic of Panama, Republic of the Philippines, Russian Federation, Republic of Senegal, Republic of South Sudan, Syrian Arab Republic, United Republic of Tanzania, Republic of Trinidad and Tobago, Republic of Türkiye, Republic of Uganda, United Arab Emirates, Republic of Vanuatu, Republic of Yemen, Republic of Zimbabwe.
